End User License Agreement

This End User License Agreement (“Agreement”) is a legally binding contract between you (“User” or “you”) and LasMeta Platform (“LasMeta,” “we,” “us,” or “our”). This Agreement governs your access to and use of our “LasMeta” Social Poker Game (“Game”) and associated services, websites, and applications (collectively, “Services”). By accessing or using the Game, you agree to be bound by the terms and conditions set forth in this Agreement. If you do not agree to these terms, do not access or use the Game.

LasMeta is the developer and operator of the “LasMeta Social Poker Game” platform. The platform does not utilize fiat currency; users neither win nor lose money against each other, and it does not facilitate or engage in any gambling activities. Users may have the opportunity to receive $LASM tokens, which serve as the primary governance and utility tokens on the platform. However, the accrual of $LASM tokens is not directly correlated with users' bets or stakes. Instead, users are rewarded with a portion of the platform's marketplace and advertising revenues upon achieving specific milestones. This mechanism is referred to as the “social activity-based reward system.”

1. Grant of License

Subject to your full compliance with the terms and conditions of this Agreement, LasMeta grants you a limited, non-exclusive, non-transferable, revocable license to download, install, access, and use the Game solely for your personal, non-commercial purposes on compatible devices that you own or control. All rights not expressly granted to you under this Agreement are reserved by LasMeta.

2. Restrictions on Use

You agree not to, and you shall not permit others to:

• • Copy, modify, distribute, create derivative works of, publicly display, publicly perform, sublicense, lease, lend, sell, or transfer the Game or any part thereof.
• • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying ideas or algorithms of the Game, except to the extent that such activities are expressly permitted by applicable law.
• • Use the Game for any commercial purpose, including, without limitation, for any purpose that generates revenue directly or indirectly, unless expressly authorized by LasMeta in writing.
• • Remove, alter, or obscure any copyright, trademark, or other proprietary notices associated with the Game.
• • Circumvent, disable, or otherwise interfere with security-related features of the Game or features that enforce limitations on the use of the Game.

3. Ownership and Intellectual Property

The Game, including all content, features, and functionality, is the exclusive property of LasMeta and its licensors and is protected by copyright, trademark, and other intellectual property laws. This Agreement does not grant you any ownership interest in or to the Game or any related intellectual property, but only a limited right to use the Game as expressly provided herein.

4. In-Game Purchases

All in-game purchases and transactions within the Game must be conducted using $LASM tokens, a cryptocurrency specifically utilized within the LasMeta platform. Fiat currency is not accepted for in-game transactions. By making any in-game purchase, you agree to the terms and conditions applicable to such purchases, including the non-refundable nature of all transactions. LasMeta reserves the right to manage, regulate, control, modify, or eliminate $LASM tokens and in-game items as it sees fit in its sole discretion, and LasMeta shall have no liability to you or anyone else for exercising such rights.

5. User Content

You may create, post, or share content through the Game (“User Content”). By doing so, you grant LasMeta a non-exclusive, royalty-free, worldwide, sublicensable, and transferable license to use, reproduce, distribute, display, and perform your User Content in connection with the Game and Services. You represent and warrant that you have the necessary rights to grant this license and that your User Content does not infringe any third-party rights.

6. Updates and Modifications

LasMeta may provide updates, patches, or new versions of the Game from time to time. These updates may be provided automatically or require manual installation. This Agreement will apply to any updates, patches, or new versions of the Game unless such updates are accompanied by a separate license agreement, in which case the terms of that license agreement will govern.

7. Termination

LasMeta reserves the right to terminate this Agreement and your access to the Game at any time, with or without cause or notice. Upon termination, you must immediately cease all use of the Game and delete all copies of the Game from your devices. The provisions of this Agreement that by their nature should survive termination shall survive, including but not limited to Sections 3, 4, 7, 8, 9, 10, and 11.

8. Disclaimer of Warranties

THE GAME AND ALL RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE GAME WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. LASMETA DOES NOT WARRANT THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED, NOR DOES IT GUARANTEE THAT THE GAME WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LASMETA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE GAME, EVEN IF LASMETA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to indemnify, defend, and hold harmless LasMeta, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Game, your violation of this Agreement, or your violation of any rights of another.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with international laws, without regard to conflict of law principles. Any disputes arising out of or relating to this Agreement or the Game shall be resolved exclusively in the appropriate international courts. You agree to submit to the personal jurisdiction of such courts and waive any objections to the exercise of jurisdiction over you by such courts.

12. Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and LasMeta regarding your use of the Game and supersedes all prior or contemporaneous agreements, understandings, or communications, whether written or oral, regarding such subject matter.

13. Amendments

LasMeta reserves the right to amend or modify this Agreement at any time. If we make material changes to this Agreement, we will notify you by posting the revised Agreement on our website or through the Game. Your continued use of the Game following the posting of the revised Agreement constitutes your acceptance of the changes.
